Membership in the Credit Union is limited to (1) those employed by the Bell System�s legal successors, spin-offs or other legal entities (as defined herein) resulting from the AT&T Divestiture (as defined herein), employees of the Credit Union, employees of the Local Unions, as defined herein, that represent the above mentioned entities, employees of companies the primary business of which is within the communications industry and future or retired employees of the above companies and Local Unions, regardless of where such individuals currently work, provided that any such company or Local Union must maintain its main office within the geographic area described in Clause (2), and (2) those who live, work, or attend school within Suffolk County, Norfolk County, and the following municipalities within Plymouth County and Middlesex County: (Middlesex County) Arlington, Belmont, Burlington, Cambridge, Everett, Lexington, Malden, Medford, Melrose, Newton, Reading,
North Reading, Somerville, Stoneham, Wakefield, Waltham, Watertown, Weston, Wilmington, Winchester and Woburn, and (Plymouth County) Abington, Bridgewater, Brockton, Carver, Duxbury, East Bridgewater, Halifax, Hanover, Hanson, Hingham, Hull, Kingston, Marshfield, Norwell, Pembroke, Plymouth, Plympton, Rockland, Scituate, West Bridgewater and Whitman; the families of members of the Credit Union, i.e., spouse, parent, grandparent, step-parent, child, grandchild, step-child, brother, sister, step-brother, step-sister, half-brother, half-sister, brother-in-law, sister-in-law, mother-in-law, father-in-law, aunt, uncle, niece, nephew, and cousin.
The term �spin-offs or other legal entities� shall mean (1) subsidiaries (as defined herein) of American Telephone and Telegraph Company (�AT&T�) as they existed on the date of the AT&T Divestiture and legal successors of such subsidiaries, (2) divisions or business units of AT&T and its subsidiaries that were not separately incorporated or organized on the date of the AT&T Divestiture but which have since become separately incorporated or organized, or have been acquired by companies that were not subsidiaries of AT&T on the date of the AT&T Divestiture.
The term �AT&T Divestiture� shall mean the process by which AT&T was required by that certain Plan of Reorganization entered into as of December 16, 1982 in the matter of United States of America v. Western Electric Company, Inc. and American Telephone and Telegraph Company, filed with the United States District Court for the District of Columbia in Civil Action No. 82-0192, to split into separate, smaller companies operating initially in narrower product or geographic markets than those in which AT&T had operated.
The term �subsidiary� shall mean any company 51 per centum or more of the voting shares of which is directly or indirectly owned or controlled by another company, or is held by it with power to vote.
The term �Local Union� shall mean each organized and sanctioned local unit of a labor union registered in accordance with law either with the Office of Labor Management Standards of the U.S. Department of Labor (or any successor federal agency) or with an agency of the Commonwealth of Massachusetts in accordance with Massachusetts law.
The term �communications industry� shall mean those companies that provide services and technologies for the purpose of the transmission and the processing of information, voice, data, and video, employing various communication methods, to include but not be limited to fiber optics, cellular, microwave and satellite and employing various processing techniques, to include but not be limited to telecommunication switches both premise based and central office based, central processing units, local and wide area networks, servers, routers, multiplexors and personal computers.
The term �attend school� shall mean enrollment in any college or university for the purpose of pursuing an undergraduate or post-graduate educational degree.
A person not so eligible for membership may be on a joint account with a member of the Credit Union for the purpose of purchasing shares and making withdrawals only. Credit Union members in good standing shall thereafter be retained as members. A member is in good standing if the member is not delinquent as to any obligation due the Credit Union, has not caused the Credit Union any loss, has not violated any applicable state or federal law, and has not violated any Credit Union policies or any provision of these By-Laws. Once an individual becomes a member of the Credit Union, that individual shall always be eligible to remain a member.
